1. Introduction and Acceptance of Terms

Welcome to SparkVerse AI ("Sparkverse", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the SparkVerse AI website (https://www.sparkverse.ai), applications, APIs, products, platforms, and related services (collectively, the "Services").

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree, you must not access or use the Services.

These Terms apply to all users, including visitors, customers, trial users, enterprise clients, developers, and partners.

2. Definitions

"User" means any individual or entity accessing or using the Services.

"Customer" means a User who has entered into a paid subscription or enterprise agreement.

"Content" means any data, text, prompts, files, documents, images, or other materials submitted to or generated through the Services.

"AI Output" means responses, answers, recommendations, or other outputs generated by SparkVerse AI systems.

3. Scope of Services

SparkVerse AI provides enterprise-grade AI solutions, including but not limited to:

• AI-powered search and retrieval systems
• Conversational AI and chatbots
• Retrieval-augmented generation (RAG) solutions
• Knowledge management and decision-support tools
• APIs, integrations, and related analytics

Features may vary by plan and may be modified, updated, or discontinued at our discretion.

4. Eligibility and Account Registration

You must be at least 18 years old and have the legal authority to enter into these Terms. When creating an account, you agree to provide accurate, complete, and current information and to keep such information updated.

You are responsible for safeguarding your credentials and for all activities conducted under your account.

5. Acceptable Use Policy

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party rights
• Infringe intellectual property, privacy, or confidentiality rights
• Transmit malware, harmful code, or security exploits
• Generate or distribute unlawful, harmful, deceptive, or abusive content
• Attempt to reverse engineer, disrupt, or bypass security or usage limits
• Use the Services to develop competing AI products without authorization

We reserve the right to suspend or terminate access for violations.

6. Customer Content, Data, and Privacy

6.1 Ownership of Customer Content

You retain all right, title, and interest in and to any Content you submit, upload, or otherwise make available through the Services ("Customer Content"). SparkVerse AI does not claim ownership of Customer Content.

6.2 License to Use Customer Content

You grant SparkVerse AI a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and use Customer Content solely as necessary to provide, maintain, secure, and improve the Services, including for troubleshooting, analytics, and model performance optimization, in accordance with applicable law and our Privacy Policy.

6.3 Customer Data and Privacy

SparkVerse AI processes Customer Content as a service provider or processor on behalf of the Customer. Our collection and use of personal data is governed by our Privacy Policy and, where applicable, a Data Processing Addendum (DPA). Customers are responsible for ensuring they have the necessary rights, permissions, and lawful basis to provide Customer Content to SparkVerse AI.

6.4 Data Security and Retention

We maintain commercially reasonable administrative, technical, and organizational safeguards designed to protect Customer Content against unauthorized access, loss, or misuse. Customer Content will be retained only for as long as necessary to provide the Services or as required by law, unless otherwise agreed in writing.

6.5 Prohibited Data

Unless expressly agreed in writing, you must not submit sensitive personal data, regulated data, or information subject to heightened legal protections (including health, biometric, or financial data) to the Services.

7. AI Output and Use of Results

AI Output is generated probabilistically and may be inaccurate, incomplete, or outdated. You acknowledge that:

• AI Output is provided for informational purposes only
• Sparkverse does not guarantee correctness, completeness, or suitability
• You are responsible for independently verifying AI Output before relying on it

Sparkverse is not responsible for decisions, actions, or outcomes resulting from the use of AI Output.

8. Intellectual Property Rights

The Services, including software, models, algorithms, interfaces, branding, and documentation, are owned by or licensed to Sparkverse and are protected by intellectual property laws.

Except as expressly permitted, you may not copy, modify, distribute, sell, or create derivative works based on the Services.

9. Subscriptions, Fees, and Payment

Certain Services require payment. Pricing, billing cycles, and payment terms are specified at the time of purchase or in a separate agreement.

All fees are non-refundable unless expressly stated otherwise. Failure to pay may result in suspension or termination of access.

10. Third-Party Services and Integrations

The Services may integrate with third-party platforms or tools. Sparkverse is not responsible for third-party services, content, availability, or data practices. Use of third-party services is subject to their respective terms.

11. Confidentiality

Each party agrees to protect the other party’s confidential information and to use it solely for purposes related to the Services, unless disclosure is required by law.

12. Termination

We may suspend or terminate your access to the Services at any time for breach of these Terms, legal requirements, or security concerns.

Upon termination, your right to use the Services ceases immediately. Sections relating to intellectual property, disclaimers, limitation of liability, and governing law shall survive termination.

13. Disclaimer of Warranties

THE SERVICES AND AI OUTPUT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPARKVERSE AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND AVAILABILITY.

SPARKVERSE AI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS, OR THAT AI OUTPUT WILL BE RELIABLE OR ACCURATE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPARKVERSE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO SPARKVERSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify and hold harmless Sparkverse from any claims, damages, losses, and expenses arising out of your use of the Services or violation of these Terms.

16. Regulated Use and No Professional Advice

The Services are general-purpose artificial intelligence tools and are not designed, intended, or certified to provide regulated, professional, or compliance-specific advice, including medical, clinical, legal, financial, or other regulated advice. SparkVerse AI does not act as a licensed professional, advisor, or decision-maker. You acknowledge that you are solely responsible for ensuring that your use of the Services, including any AI Output, complies with applicable laws, regulations, industry standards, and internal governance requirements, including requirements applicable to regulated industries. Human oversight, validation, and independent review are required before relying on AI Output in regulated or high-risk contexts.

17. APIs, Usage Limits, and Benchmarking

Use of SparkVerse AI APIs is subject to usage limits, rate limits, authentication requirements, and technical documentation provided by SparkVerse AI. You are responsible for maintaining the security of API credentials and must not share or misuse access keys. You may not perform or publish benchmarks, performance tests, or comparative evaluations of the Services without SparkVerse AI’s prior written consent.

18. Deployment Models and Customer Responsibilities

SparkVerse AI may offer cloud-based, hybrid, on-premises, or virtual private cloud (VPC) deployment options. For on-premises or customer-controlled VPC deployments, the Customer is responsible for the security, configuration, maintenance, and compliance of the underlying infrastructure and environment outside of SparkVerse AI-controlled components. SparkVerse AI is not responsible for failures, breaches, or compliance issues arising from customer-managed infrastructure.

19. Export Controls and Sanctions

You represent and warrant that you are not located in, and will not use the Services in, any jurisdiction subject to comprehensive sanctions or embargoes under applicable UK, EU, or international export control laws. You agree not to use the Services in violation of applicable export control or sanctions regulations.

20. Governing Law, Jurisdiction, and Arbitration

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Subject to the foregoing, the courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services. Notwithstanding the above, the parties may agree in writing to resolve specific disputes through arbitration, provided that such arbitration is mutually agreed and does not impose disproportionate or prohibitive costs on SparkVerse AI.

21. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on our website, and continued use of the Services constitutes acceptance of the revised Terms.
